Merchant Terms & Conditions

portfolios.id and the Merchant (tenant/user who accepts these terms) are collectively the Parties and each a Party, and agree as follows:
- portfolios.id is a SaaS platform operating under the laws of the Republic of Indonesia, providing online portfolios, Shop, Appointment, tenant wallet, platform checkout (payment links), and payment gateway integrations for tenants.
- Merchant is a legal entity or individual registered as a portfolios.id tenant, bound by these Merchant Terms & Conditions and the platform Terms & Conditions.
- The Merchant intends to cooperate with portfolios.id to accept non-cash payments from Customers through (a) platform checkout (QRIS, debit card, credit card, and methods on the platform payment link, in IDR), and/or (b) tenant gateways connected with the Merchant's own API credentials (e.g. Paypal, Xendit, Midtrans, Stripe, Authorize.net, Paystack, Paytm, Flutterwave, Instamojo, Mollie, Razorpay, Mercadopago, Iyzico, Perfect Money, Paytabs, Toyyibpay, Phonepe, Yoco, My Fatoorah), plus manual Offline Payment.
Article 1 — Scope of Cooperation
- The Merchant agrees to use Shop, Appointment, platform checkout, and/or tenant gateways according to registered business data. portfolios.id provides software, centralized payment links (when selected), wallet ledger, and operational support as set out here.
- Platform checkout: Customers pay via the platform payment link; net earnings are recorded in the Merchant wallet after MDR and platform fees. Tenant gateways: payments go directly to the Merchant's provider accounts; portfolios.id is not the payment service provider for that path.
- Membership payments for Free/Standard/Business plans use administrator-configured gateways (PayPal, Xendit, Midtrans, platform payment link), not the Merchant's tenant API keys.

Article 2 — Fees
- MDR (Merchant Discount Rate) on platform checkout is a pass-through network fee on successful gross transactions. Indicative platform checkout MDR: QRIS: 0.7%; Debit off-us: 1%; Debit on-us: 0%; Credit on-us: 1.8%; Credit off-us: 2%; UnionPay: 2.3%; Amex: 3.5%; Other (default): 5%. Rates may change under partner contracts, regulators, or platform policy.
- In addition to MDR, portfolios.id deducts a tenant platform fee from gross (default 10%, administrative minimum 2.5% except short promotions). Wallet credit formula: net = gross − MDR − platform fee. portfolios.id does not absorb platform checkout MDR.
- The Merchant accepts MDR on settled successful transactions, applicable VAT, and wallet withdrawal fees to bank accounts (indicative: Free tier Rp 5.000; Standard Rp 2.500; Business Rp 2.500 per BI-Fast withdrawal) where settlement bank differs from the platform transfer bank.
- For tenant gateways, MDR, chargebacks, and settlement follow the Merchant's contract with each provider, not the wallet table above.
- Taxes are borne by each Party under applicable law.
- Fee changes may be made by portfolios.id with or without prior notice where permitted by law and platform policy.
Article 3 — Term
The Parties agree this agreement runs for one (1) year and renews automatically each year unless either Party gives thirty (30) days' written notice to terminate merchant/platform checkout cooperation.
Article 4 — Merchant Representations and Warranties
- The Merchant must keep dashboard, portal, and gateway API credentials confidential and must not transfer, lend, or share access without portfolios.id consent.
- The Merchant must maintain accurate registration, business legality, and product/service information.
- The Merchant is responsible for every processed transaction and resulting losses, and accepts legal process under Indonesian law.
- One Merchant account is for one business entity; identity or document fraud is grounds for termination.
- The Merchant warrants it is represented by authorized persons; if information is false, the Merchant holds portfolios.id harmless from related legal claims.
Article 5 — Suspension or Termination of Services
- portfolios.id may suspend or permanently stop platform checkout, wallet, Shop/Appointment, or account access if the Merchant is suspected of abuse, Article 10 violations, or legal breaches, with notice to the registered email.
- Reasons may be detailed in FAQs and platform policies. Losses from suspension due to Merchant violation are not portfolios.id's liability; the Merchant releases portfolios.id from claims for failed or disrupted transactions caused by such suspension.
Article 6 — Chargeback, Dispute, Fraud, Refund
- Chargeback: a settled transaction disputed by the cardholder causing funds to be debited; portfolios.id may recharge or withhold Merchant wallet balance.
- Dispute: a customer report that may become a chargeback via issuer/acquirer.
- Fraud: intentional deception using platform or Merchant gateway payment channels.
- Refund: return of funds to the Customer; product/service refund policy is the Merchant's responsibility to Customers.

Article 7 — Rights and Obligations
- portfolios.id shall provide software, platform checkout (when used), and wallet ledger per membership tier.
- portfolios.id shall address technical issues on platform checkout and wallet within platform authority.
- portfolios.id may suspend services under Article 5.
- The Merchant shall provide requested data and is fully responsible for document authenticity.
- The Merchant shall pay fees under Article 2 and platform policies.
- The Merchant is entitled to checkout/gateway services per plan and account configuration.
- portfolios.id may store Merchant data and documents for documentation and compliance.
- portfolios.id may change software pricing, MDR, platform fees, or terms with notice where required by law.
- portfolios.id may verify compliance with Merchant business data.
Article 8 — Indemnity
The Merchant indemnifies and holds portfolios.id harmless from losses arising from the Merchant's breach or negligence under this agreement, including illegal transactions, fraud, or Article 10 violations.
Article 9 — Confidentiality and Privacy
- Each Party keeps information confidential outside the agreement's purpose, except when required by banks, regulators, or payment providers.
- Parties must not disclose confidential cooperation information except as required by law.
- Customer and Merchant data are handled confidentially under Law No. 27 of 2022 on Personal Data Protection (PDP) and related rules. See Privacy Policy.
Article 10 — Transaction Duties and Prohibitions
- No cash advance or double credit-card swipe as prohibited under BI card payment rules.
- No QRIS surcharge to Customers under PBI PJP and BI circulars on surcharge.
- No money laundering; violations may lead to criminal sanctions and termination.
- Compliance with AML/CFT (APU-PPT) under BI and applicable law.
- No illegal goods/services (terrorism financing, narcotics, fraud, gambling, counterfeits, pornography, firearms, etc.).
- No transactions outside registered business scope, split transactions, third-party card use, or nominee transactions.
- No impersonation of banks, payment providers, or portfolios.id without authorization.
- No storing card data or requesting Customer PIN/OTP/password outside official gateway/platform flows.
- No abuse of platform checkout, hacking, fake apps/sites, or infringement of portfolios.id intellectual property.
- No repeated test-card transactions (APPROVE/DECLINE) more than three times without genuine sales.
- Platform checkout IDR transactions must use Indonesian Rupiah (Rp).
- Provide invoices/receipts and delivery proof where applicable.
- Notify material business changes at least seven (7) business days in advance; portfolios.id may close access if business is unlawful or misrepresented.
- Provide refund/return information to Customers.
- Card transactions must follow security standards (chip/PIN); never request Customer credentials.
- portfolios.id may terminate if Merchant or PIC is blacklisted by internal review, banks, or payment providers.
- Unauthorized transactions processed by the Merchant are solely the Merchant's liability.
- The Merchant must reconcile transaction status in Transaction History and the Merchant portal.
Article 11 — Transaction Fund Settlement
- portfolios.id may hold funds temporarily or permanently (Pending, Hold, Frozen) with written notice for chargeback, fraud, refund, or violation indications.
- Indications may come from banks, acquirers, issuers, or internal monitoring.
- The Merchant may respond with evidence of legitimate transactions.
- Holds may continue until the Merchant proves legitimacy or disputes are resolved.
- If the Merchant is proven to have violated transaction rules, portfolios.id may withhold related funds and close access.
- portfolios.id may withhold amounts matching disputes/chargebacks/refunds/fraud.
- After successful platform checkout, funds enter Pending Balance until settlement (estimated up to 48 hours), then Available Balance for bank withdrawal requests.
Article 12 — AML and Counter-Terrorism Financing
The Parties will not violate anti-corruption, anti-bribery, AML/CFT rules, or engage in bribery, illegal gratification, or value transfers for unlawful purposes in connection with this agreement.
Article 13 — Personal Data Protection
- The Parties comply with PDP Law, Government Regulation No. 71 of 2019 on electronic systems, and implementing rules.
- User/Customer data is used only for agreement and service purposes.
- Each Party maintains security policies; breaches on a Party's systems are that Party's responsibility.
Article 14 — Termination
- This agreement may end due to: (a) Merchant request; (b) Article 10 violation after written warning; (c) hacking or system abuse; (d) forged Merchant identity/documents.
- Termination does not erase pre-termination rights/obligations, including chargebacks and fund holds.
Article 15 — Miscellaneous
- Registration data is stored with due care and encryption as needed.
- Force majeure excuses delay; affected Party must notify within three (3) calendar days.
- The Merchant releases portfolios.id from third-party claims caused by Merchant error in using payment services.
- Intellectual property in portfolios.id websites, apps, templates, and branding belongs to portfolios.id; no copying without written consent.
- Unsettled matters may be covered by addenda or separate policies that remain binding.
- Annexes/addenda form one integrated agreement.
- The Merchant releases portfolios.id from claims arising from fund holds or access closure due to Articles 6 and 10 violations.
- By registering or using Shop/Appointment/platform checkout, the Merchant accepts these terms.
- Terms may be updated on portfolios.id per applicable regulations.
